Terms of Service

1. Agreement to terms

By accessing or using ScopeGrid ("the Service"), operated by ScopeGrid ("we", "us", "our"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Description of service

ScopeGrid is a multi-tenant SaaS dashboard for managed service providers (MSPs). The Service aggregates data from third-party integrations into custom dashboards, alerts, and reports. The Service is provided "as is" and "as available".

3. Accounts

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials and any activity under your account.
• You must notify us immediately if you suspect unauthorised access.
• One organisation (tenant) may have multiple users. The account owner is responsible for managing user access.

4. Free trial & subscriptions

We offer a 14-day free trial. No credit card is required to start. After the trial, continued use requires a paid subscription. Subscription plans and pricing are listed on our pricing page.

• Subscriptions are billed monthly or annually via Stripe.
• You may cancel at any time. Cancellation takes effect at the end of the current billing period.
• We do not offer refunds for partial billing periods, except where required by law.

5. Your data

You retain ownership of all data you provide or that is fetched from your connected integrations ("Your Data"). We do not claim any ownership rights over Your Data.

• You grant us a limited licence to process Your Data solely to provide the Service.
• We act as a data processor under UK GDPR. See our Privacy Policy for details.
• You may export Your Data at any time. Upon cancellation, we retain Your Data for 30 days before permanent deletion.

6. Integration credentials

When you connect third-party integrations, you provide API keys, tokens, or other credentials. These are encrypted at rest with AES-256-GCM and used solely to fetch data on your behalf. You are responsible for ensuring you have the right to share these credentials with us and that they follow least-privilege principles.

7. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorised access to the Service or other users' data
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service to store or transmit malware
• Resell or redistribute the Service without our written consent
• Exceed reasonable usage limits or abuse API endpoints

8. Availability & support

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible. Support is available via email. Response times depend on your subscription plan.

9. Third-party services

The Service integrates with third-party tools (ConnectWise, HaloPSA, SentinelOne, Meraki, etc.). We are not responsible for the availability, accuracy, or reliability of data from these third-party services. Your use of third-party services is governed by their respective terms.

10. Intellectual property

The Service, including its design, code, logos, and documentation, is owned by ScopeGrid and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes.

11. Limitation of liability

To the maximum extent permitted by law, ScopeGrid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold ScopeGrid harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

13. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access if you breach these Terms. Upon termination, your right to use the Service ceases immediately. We will retain Your Data for 30 days to allow export, after which it will be permanently deleted.

14. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
